Welcome to Smart Business Toolbox (“Company,” “we,” “us,” or “our”), owned and operated by Propel Business Advisors, LLC, founded by Christi Lopez.
These Terms and Conditions (“Terms”) govern your access to and use of the Smart Business Toolbox website, platform, software, and related services (collectively, the “Services”).
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree with these Terms, you must discontinue use of the Services immediately.

1. OUR SERVICES
Smart Business Toolbox provides a software-as-a-service (SaaS) platform designed to help business owners manage and improve key aspects of their business operations.
The Services may include tools and systems related to:
• customer relationship management (CRM)
• marketing automation
• lead generation and sales pipelines
• messaging tools including email, SMS, phone, and automated communications
• workflow automation and business systems
• analytics and performance tracking
The Services are intended for business use only and are not guaranteed to produce specific financial or operational outcomes.
2. INTELLECTUAL PROPERTY RIGHTS
All software, content, trademarks, graphics, logos, and materials made available through the Services are the property of Dellarobbia Inc. DBA Propel Business Advisors or its licensors.
Your use of the Services grants you a limited, non-exclusive, non-transferable license to access and use the platform for your internal business purposes.
You may not:
• copy
• reproduce
• distribute
• sublicense
• modify
• reverse engineer
• create derivative works
without prior written permission from the Company.
3. USER REPRESENTATIONS
By using the Services, you represent and warrant that:
• you are at least 18 years old
• you provide accurate and current information
• you will comply with all applicable laws and regulations
• you will not use the Services for unlawful purposes
4. USER REGISTRATION
Certain features of the Services may require you to create an account.
You are responsible for:
• maintaining the confidentiality of your account credentials
• all activities that occur under your account
• ensuring your account information remains accurate
We are not liable for losses resulting from unauthorized use of your account.
5. PURCHASES AND PAYMENT
Certain Services require payment.
By purchasing a subscription or service, you authorize us to charge your selected payment method through our payment processor.
All payments are non-refundable unless otherwise stated.
We reserve the right to change pricing at any time. Updated pricing will apply to future billing periods.
6. SUBSCRIPTIONS AND FREE TRIALS
Certain subscription plans may include a free trial period, typically fourteen (14) days.
A valid payment method may be required to activate the free trial.
You will not be charged during the trial period. However, unless canceled before the trial ends, your subscription will automatically begin and your payment method will be charged according to your selected plan.
Subscriptions automatically renew until canceled.
You may cancel your subscription at any time through your account settings or by contacting support.
7. USAGE-BASED FEES
Your subscription provides access to the Smart Business Toolbox platform.
Certain features of the platform may incur usage-based fees, including but not limited to:
• SMS or MMS messaging
• email sending
• phone calls
• AI usage
• third-party integrations
These services may be billed at usage-based or wholesale rates depending on volume and activity.
You are responsible for all usage charges generated through your account.
8. PROHIBITED ACTIVITIES
You agree not to:
• violate any applicable laws or regulations
• interfere with the functionality of the Services
• attempt to gain unauthorized access to systems or data
• transmit malicious software or harmful code
• use the platform for spam, illegal marketing, or deceptive communications
• attempt to reverse engineer or exploit the platform
Users are solely responsible for all communications sent through the platform, including emails, SMS messages, phone calls, and automated marketing campaigns.
Smart Business Toolbox provides communication tools but does not monitor, review, or control the content of communications sent by users. Users must comply with all applicable laws including, but not limited to, CAN-SPAM, TCPA, and other messaging regulations.
Violation of these rules may result in suspension or termination of your account.
9. USER GENERATED CONTENT
You retain ownership of any content you submit through the platform.
However, by submitting content you grant the Company permission to use, store, process, and display such content as necessary to operate the Services.
10. CONTRIBUTION LICENSE
By submitting feedback, ideas, or suggestions regarding the Services, you grant the Company a worldwide, royalty-free license to use such feedback to improve the platform without compensation.
11. REVIEWS AND FEEDBACK
Reviews and testimonials must be truthful and must not infringe on the rights of others.
We reserve the right to remove or edit content at our discretion.
12. THIRD-PARTY WEBSITES AND INTEGRATIONS
The Services may contain links to third-party websites or integrations.
We are not responsible for the content, policies, or operations of third-party services.
Your use of third-party services is subject to their respective terms and policies.
13. PRIVACY POLICY
Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and protect your information.
14. SERVICE MODIFICATIONS
We reserve the right to modify, suspend, or discontinue any part of the Services at any time.
We will make reasonable efforts to notify users of significant changes.
15. PLATFORM AVAILABILITY
Smart Business Toolbox makes reasonable efforts to ensure the platform remains available and functional.
However, interruptions may occur due to maintenance, updates, technical issues, third-party outages, or internet disruptions.
We do not guarantee uninterrupted availability of the Services and are not liable for downtime or service interruptions.
16. TERMINATION
We may suspend or terminate your access to the Services if:
• you violate these Terms
• you misuse the platform
• required payments are not made
Upon termination, your right to use the Services immediately ceases.
17. DISCLAIMERS
The Services are provided “as is” and “as available.”
We make no warranties regarding:
• uninterrupted availability
• accuracy of information
• specific business results
Use of the Services is at your own risk.
18. LIMITATION OF LIABILITY
To the fullest extent permitted by law, Propel Business Advisors shall not be liable for indirect, incidental, special, or consequential damages arising from the use of the Services.
Our total liability shall not exceed the amount paid for the Services in the six (6) months preceding the claim.
19. INDEMNIFICATION
You agree to indemnify and hold harmless Propel Business Advisors and its owner from any claims, damages, losses, or expenses arising from:
• your use of the Services
• your violation of these Terms
• your misuse of the platform
20. GOVERNING LAW
These Terms are governed by the laws of the State of Virginia, without regard to conflict of law principles.
21. DISPUTE RESOLUTION
Before initiating legal proceedings, the parties agree to attempt to resolve disputes informally.
If a dispute cannot be resolved, it will be settled through binding arbitration in the State of Virginia in accordance with applicable arbitration rules.
